2. Acceptance of Terms

By accessing, browsing, or placing an order through Venda Shop's website or any of our sales channels, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with these terms, you must not use our services.

3. Wholesale Business Model

Venda Shop operates as a wholesale distributor. Our services are intended for:

  • Retailers and resellers
  • Organizations making bulk purchases
  • Other qualified commercial buyers

We reserve the right to refuse service, cancel orders, or require additional verification for any customer at our sole discretion.

4. Account Registration and Use

4.1 Account Creation

To place orders, you may be required to create an account. You agree to:

  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms, fraudulent activity, or any other reason we deem necessary to protect our business interests.

5. Orders and Pricing

5.1 Order Acceptance

All orders are subject to acceptance by Venda Sales Limited. We reserve the right to refuse or cancel any order for any reason, including but not limited to:

  • Product availability
  • Errors in pricing or product information
  • Credit or fraud concerns
  • Failure to meet minimum order requirements
  • Delivery location restrictions

5.2 Pricing

All prices are stated in Kenya Shillings (KES) and are subject to change without notice. While we make every effort to ensure accuracy, pricing errors may occur. If we discover a pricing error after you have placed an order, we will notify you and give you the option to proceed at the correct price or cancel your order with a full refund.

5.3 Minimum Orders

As a wholesale operation, minimum order quantities or values may apply. These requirements will be clearly communicated on our website or during the ordering process.

5.4 Order Confirmation

Upon placing an order, you will receive an order confirmation via email or SMS. This confirmation does not constitute acceptance of your order. Order acceptance occurs when we dispatch the goods or send a separate acceptance notification.

6. Payment Terms

6.1 Payment Methods

We accept payment through methods specified on our website or communicated during the ordering process. Payment must be received before dispatch unless credit terms have been explicitly approved in writing.

6.2 Credit Terms

Credit facilities, if offered, are subject to approval and separate credit agreements. Late payments may incur interest charges and collection fees as permitted by law.

6.3 Failed Payments

If payment fails or is declined, we reserve the right to cancel your order and suspend your account until payment is received.

7. Delivery and Shipping

7.1 Delivery Timeframes

We aim to deliver orders within 24 to 72 hours from order confirmation. These timeframes are estimates and not guarantees. Delivery times may vary based on:

  • Delivery location
  • Product availability
  • Weather conditions
  • Traffic and road conditions
  • Security concerns
  • Force majeure events

7.2 Delivery Areas

We deliver to specified areas within Kenya. Delivery to certain locations may incur additional charges or may not be available. We reserve the right to refuse delivery to any location at our discretion.

7.3 Risk and Title

Risk of loss and title for products pass to you upon delivery. You are responsible for inspecting deliveries upon receipt.

7.4 Failed Deliveries

If delivery fails due to incorrect address information, recipient unavailability, or refusal to accept delivery, you will be responsible for any additional delivery charges. We may cancel the order and charge a restocking fee if redelivery is not arranged within a reasonable timeframe.

7.5 Delivery Verification

Upon delivery, you or your authorized representative must sign for receipt of goods. This signature confirms that the delivery was received in apparent good condition. Any discrepancies must be noted at the time of delivery.

8. Product Information and Availability

8.1 Product Descriptions

We strive to provide accurate product descriptions, images, and specifications. However, we do not warrant that product descriptions, images, or other content are accurate, complete, current, or error-free.

8.2 Product Availability

Product availability is subject to change without notice. If a product becomes unavailable after you place an order, we will notify you and offer a substitute, backorder, or refund.

8.3 Product Changes

Manufacturers may change product specifications, packaging, or formulations without notice. We are not responsible for such changes.

9. Returns, Refunds, and Exchanges

9.1 Inspection Upon Delivery

You must inspect all products immediately upon delivery. Claims for damaged, defective, or incorrect products must be reported within 24 hours of delivery.

9.2 Return Conditions

Returns are accepted only under the following conditions:

  • Products are damaged or defective
  • Incorrect products were delivered
  • Products are materially different from what was ordered
  • Products are still in original, unopened packaging (where applicable)

9.3 Non-Returnable Items

The following items are not eligible for return:

  • Perishable goods
  • Products with broken seals or tampered packaging
  • Custom or special orders
  • Products damaged due to misuse or negligence
  • Items past the return window

9.4 Return Process

To initiate a return, contact us immediately via email or phone. You must provide photographic evidence of damage or defects. Returns must be authorized by us before shipping products back. Unauthorized returns will not be accepted.

9.5 Refunds

Approved refunds will be processed within 7-14 business days to the original payment method. Shipping charges are non-refundable unless the return is due to our error.

OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDA SALES LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use our products or services
  • Delivery delays or failures
  • Product defects or quality issues beyond our control
  • Unauthorized access to your account or data
  • Any third-party conduct or content

10.3 Maximum Liability

Our total liability for any claim arising from your use of our products or services shall not exceed the amount you paid for the specific products giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Venda Sales Limited, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses arising from your violation of these terms, applicable laws, misuse of products, false information provided, or infringement of third-party rights.

12. Communications

By using our services, you consent to receive communications from us via email, SMS, or other electronic means including order confirmations, shipping notifications, account information, promotional offers, and service announcements.

You may opt out of promotional communications but cannot opt out of transactional communications related to your orders or account.

13. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Venda Sales Limited or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

14. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your personal information in accordance with applicable data protection laws, including the Kenya Data Protection Act, 2019.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16. Governing Law and Dispute Resolution

16.1 Governing Law: These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Kenya.

16.2 Dispute Resolution: Any dispute arising from these terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration in Nairobi, Kenya, in accordance with the Arbitration Act of Kenya.

16.3 Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts of Kenya for any disputes that cannot be resolved through arbitration.

17. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

18-21. Additional Provisions

Severability: If any provision is found invalid, the remaining provisions shall continue in full force.

Waiver: Our failure to enforce any right shall not constitute a waiver of that right.

Entire Agreement: These terms, together with our Privacy Policy, constitute the entire agreement between parties.

Assignment: You may not assign these terms without our written consent. We may assign at our sole discretion.
